Terms of Service
Last updated
These terms govern your use of OurPortal. By paying for and using a portal, you agree to them. OurPortal is operated by [Company Legal Name], [Company Address].
This is a general template describing the product as it actually works; it is not a substitute for advice from a lawyer about your own business.
The service
- OurPortal is a hosted client-portal application: you set up a branded portal for your service business, invite clients into it, and use its modules (onboarding, documents, invoices, e-signatures, messaging and the rest) to work with them.
- The service is provided as-is, hosted by us and kept running by us; you do not need to install or manage anything yourself.
Fees and payment
- The platform is unlocked by a one-time payment of $199, processed by Stripe. Paying it gives the portal you set up continued access to every module included at the time of purchase, with no recurring charge for that access.
- When a client pays an invoice you raise through the portal, we take 2% of that payment as a platform fee; Stripe separately charges its own processing fee. Both are disclosed on the pricing page. Nothing is charged on money billed outside the portal.
- Refunds are handled case by case — contact us and explain what happened. This is a small operation, not an automated refund queue.
Your account and your clients’ data
- You own the content you and your clients put into your portal — your words, your files, your client list. We process it to run the service on your behalf; we do not claim ownership of it and do not use it for anything other than delivering the product to you.
- You are responsible for having the right to invite each client into your portal and to store their contact details there, and for what you tell them about how their data is handled.
Acceptable use
- Use the portal for legitimate business purposes only. Do not use it to store or send anything illegal, to harass or defraud anyone, or to attempt to disrupt or gain unauthorized access to the service.
- We may suspend or terminate access for a clear violation of this section.
Third-party services
- The service relies on a small number of infrastructure and payment providers to operate, listed in full in the Privacy Policy’s "Who we share it with" section, including Stripe for all payment processing. Their own terms apply to the parts of the service they provide.
Disclaimers
- The service is provided "as is" and "as available", without warranties of any kind, express or implied, to the fullest extent the law allows.
- The e-signature module records a simple electronic signature — it is not a certified e-signature service, and nothing in the product should be relied on as legal advice.
Limitation of liability
- To the fullest extent permitted by law, we are not liable for indirect, incidental or consequential damages arising from your use of the service, and our total liability for any claim is limited to the amount you paid us in the twelve months before the claim (typically, the $199 platform fee).
Termination
- You may stop using the service at any time; the one-time fee is not refunded for simply choosing to stop. We may suspend or terminate an account for a clear breach of these terms, including the acceptable-use section above.
Changes to these terms
- We may update these terms as the product changes. Meaningful changes will be reflected in the "last updated" date above; continuing to use the service after a change means you accept the updated terms.
Governing law
- These terms are governed by the laws of [Governing Law / Jurisdiction], without regard to conflict-of-law rules.
